Ipiry Patent Brokerage Platform — Patnu Consulting LLC
These Terms of Service ("Terms") govern your access to and use of the Ipiryplatform operated by Patnu Consulting LLC ("Company," "we," "us," or "our"). By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
Ipiry is an AI-powered patent brokerage marketplace that enables patent owners ("Sellers") to list, value, and sell patents, and prospective acquirers ("Buyers") to discover, evaluate, and purchase patents. The platform provides AI valuation services, deal facilitation, and transaction management services.
Ipiry acts as a marketplace intermediary and is not a party to any patent transaction. All transactions are between Buyers and Sellers directly.Ipiry earns a platform fee upon successful transaction close.
You must be at least 18 years old and have legal authority to enter into contracts to use the platform. If registering on behalf of a company, you represent that you have authority to bind that company. You are responsible for maintaining the confidentiality of your account credentials.
By listing a patent on Ipiry, you represent and warrant that:
Ipiry charges a platform fee on successfully closed transactions. The fee is split between Buyer and Seller as follows:

Enterprise subscribers receive a 1.5% total fee reduction. Fees are displayed before any transaction is initiated. No fee is charged unless a transaction closes.
This section is critical. By using Ipiry, you agree to the following anti-circumvention obligations.
If you discover a patent, a Seller, or a Buyer through the Ipiryplatform — including through AI valuation results, search results, listing pages, inquiries, deal rooms, or any platform communication — you are prohibited from completing a transaction for that patent outside of theIpiry platform for a period of 24 months from the date of first contact.
Any off-platform transaction involving a patent discovered throughIpiry constitutes a material breach of these Terms. The circumventing party agrees to pay a circumvention fee equal to 16% of the transaction value (2× the standard platform commission) plus reasonable legal fees and costs incurred in enforcement.
Example: A $300,000 off-platform transaction would trigger a $48,000 circumvention fee plus legal costs — significantly exceeding the $24,000 standard commission that would have applied.
Ipiry monitors USPTO patent assignment records for all patents listed on the platform. If a listed patent is assigned outside the platform to a party that previously viewed or inquired about that patent onIpiry, this constitutes presumptive evidence of circumvention. You consent to this monitoring as a condition of platform use.
All communications regarding patents listed on Ipiry must occur through the platform's messaging system. Sharing personal contact information (email, phone, LinkedIn, or any other direct contact details) in platform messages or deal rooms is prohibited and constitutes an attempt to circumvent the platform. Ipiry monitors messages for contact information and will redact such information automatically.
If you become aware of a circumvention attempt, you may report it to legal@ipiry.com. Confirmed reports that result in fee recovery may be eligible for a reporting reward of up to 10% of the recovered amount.
Ipiry uses a progressive identity disclosure system to protect both Buyers and Sellers. Seller identity is not revealed until a Mutual Non-Disclosure Agreement (NDA) has been executed. By signing an NDA through the platform:
Sellers pre-authorize Ipiry to countersign the NDA on their behalf upon Buyer execution. This constitutes a valid electronic signature under applicable e-signature law.
Ipiry's AI valuation service provides estimated patent value ranges based on comparable transaction data, patent metrics, and market signals. These valuations are estimates only and do not constitute:
Valuations are provided for informational purposes. You should consult with qualified IP counsel before making material decisions based on valuation results.
The Ipiry platform, including its AI models, valuation methodology, software, and branding, is owned by Patnu Consulting LLC and protected by applicable intellectual property law. You may not copy, modify, reverse engineer, or create derivative works of any platform component.
Patent data you submit remains your property. You grant Ipiry a limited license to use submitted patent data to provide platform services, improve the valuation engine, and comply with legal obligations.
You agree not to:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATNU CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the greater of (a) the total fees paid by you to Ipiry in the 12 months preceding the claim, or (b) $500.
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Hennepin County, Minnesota, under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by email and by displaying a notice on the platform. Your continued use of the platform after the effective date of updated Terms constitutes acceptance. The current version and effective date are displayed at the top of this page.
